Please read these Official Rules before entering. By submitting an entry, you agree to be bound by these Official Rules and acknowledge that you satisfy all eligibility requirements.

Term: The Photo Contest (“Contest”) begins on or about March 25, 2010, and ends on June 30, 2010, 11:59 p.m. PT (the “Term”).

Eligibility: Contest is open to all legal U.S. residents who are 18 years of age or older at the time of entry.  Employees, officers, OR directors of LendingClub Corporation (“Sponsor”), affiliates, subsidiaries, divisions, advertising and promotion agencies, and members of the immediate families of each are not eligible. Void where prohibited. Contest is subject to all local, state and federal laws and regulations. By entering this Contest, all entrants agree to fully comply with and be bound by these Official Rules and the decisions of Sponsor, and to fully comply with all federal, state and local laws and regulations.

How To Enter: No purchase necessary to enter or win any of the prizes. To enter, visit the contest announcement on Sponsor's blog, and provide your email, name, and a link to a submitted picture (photograph or digital image).  You may also leave a short explanation of why you think the submitted picture is right for Sponsor’s site.  Then you are automatically entered.  A maximum of four (4) entries are allowed per person.

Entries that do not fully comply with these Official Rules in all respects are ineligible and void. Sponsor and its affiliated companies and agencies are not responsible for incorrect or inaccurate entry information, human error or technical malfunctions, illegible, lost/delayed data transmission, omission, interruption, deletion, defect, line failures of any computer equipment or software or any combination thereof or for postage due mail, lost, stolen, late, misdirected or mutilated entries. All entries become the property of Sponsor, and will not be returned. Sponsor will not accept forged, altered, mechanically reproduced, or facsimile entries.

Conditions of Entry: Neither Sponsor, its respective affiliates, subsidiaries, divisions, advertising and promotion agencies, nor any telephone network or internet service provider are responsible for incorrect or inaccurate transcription of entry information, or for any human error, technical malfunctions, lost/delayed data transmission, omission, interruption, deletion, defect, line failures of any telephone network, computer equipment, software, inability to access any Web site or online service, or any other error or malfunction, or late, lost, misdirected or illegible entries.

Picture Requirements/License: In addition to complying with these Official Rules, each picture must also meet the following conditions:

• You must have the appropriate rights to the picture that allows Sponsor to use the picture on its site as it deems appropriate, with attribution to you.

• By submitting the picture, you agree and acknowledge that such picture will licensed to Sponsor under a creative commons attribution copyright licenses (or “cc-by”, found at http://creativecommons.org/licenses/by/3.0/).

• You will receive no royalty or other fee (other than the applicable prize fee) if Sponsor uses your submitted picture
• Sponsor may use your submitted picture independent of the outcome of the Contest

• Picture must be available online (such as photo sharing sites or stock photo libraries)
• Picture must have one (1) focal point, as well as no more than three (3) dominating colors.  See Sponsor’s previous background images for sample pictures.
• Picture quality must be at least 2000x2000 pixels
• Picture must be in PNG, GIF or JPG format
• Blurry, damaged, out of focus or inappropriate images, as determined in Sponsor’s sole and absolute discretion, will be ineligible

Prizes:

• One (1) grand prize winner will receive $1,000 by American Express gift card
• One (1) second place winner will receive $500 by American Express gift card
• One (1) third place winner will receive $300 by American Express gift card
• Up to three (3) honorary mentions: $100/each by American Express gift card

Prizes will be delivered to winners via mail.
No prize transfer or prize substitution, except by Sponsor, who reserves the right to award a prize of equal or greater value due to prize unavailability for any reason.  Taxes not specifically indicated in these Official Rules are the sole responsibility of a winner.

Odds Of Winning: The odds of winning depend upon the number of eligible entries received during the Term.

Judging: The judging will occur in two (2) phases:

Phase 1: Sponsor judging.
Sponsor will review all eligible entries submitted between March 25, 2010 and May 31, 2010 and will select ten (10) finalist picture which will then be publicly displayed for a popular vote.

Phase 2: Popular vote.
The ten (10) finalist pictures will be posted on Sponsor’s Facebook fan page and open to popular vote from June 5-30, 2010.  The top three (3) pictures with the highest vote totals will be selected as winners.  A comment on a finalist picture is considered a vote.  Only one comment per Facebook user will be counted as a vote.  Sponsor may, but is not obligated, to choose up to three (3) additional pictures for an honorary mention award.

All decisions in each phase of judging are final with respect to all aspects of the Contest.

Winners will be announced on or about Saturday, July 3rd on Sponsor's blog.
Winners will be notified by email within approximately ten (10) days after the second phase of the judging closes. Each winner must respond to email and provide a valid mailing address for the prize after being notified of the prize. If, after a reasonable number of attempts to contact a winner are made and a potential winner does not respond within seven (7) calendar days of initial notification, the prize will be forfeited and an alternate winner selected from among all eligible entries received during the Term.

Delivery of Prize: Winners must provide a valid mailing address to Sponsor in order to receive the prize.
Consent to use Winner’s Information. Acceptance of a prize constitutes a winner's consent to the use of his/her voice, name, likeness, biographical information and/or photograph by Sponsor for promotional or advertising purposes in connection with the Contest.
Release and Limitation of Liability: By entering, participants release and hold harmless Sponsor, its agencies, and their respective parent, subsidiaries, affiliates, directors, officers, employees and related entities from any and all liability, claims or actions of any kind whatsoever for injuries, damages or losses to persons and property that may be sustained in connection with the receipt, ownership, acceptance or use/misuse of the prize from or arising out of participation in this Contest or any Contest-related activity. Sponsor and its agencies assume no responsibility or liability for (1) any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries; (2) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Contest; (3) any problems or technical malfunction of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any Website, or any combination thereof, including any injury or damage to participant’s or any other person’s computer relating to or resulting from participation in this Contest or downloading any materials in this Contest; (4) technical or human error which may occur in the processing of entries; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Contest or receipt or use or misuse of any prize. Sponsor’s computer is the official clock for determining time of receipt of referral entries.
If for any reason this Contest is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, the Sponsor reserves the right at its sole discretion to disqualify any individual who tampers with the entry or voting process (and/or to take legal action against such individual so as to protect its rights), and/or to cancel, terminate, modify or suspend the Contest. In such event, Sponsor will award the prize in a random drawing comprised of all eligible entries received prior to and/or after (as appropriate) the action taken by Sponsor and all eligible entries received by Sponsor in its sole discretion to be fair, appropriate and consistent with the spirit of these Official Rules. Notice of such action will be posted on Sponsor's blog located at http:\blog.lendingclub.com.

Sponsor and its agencies have neither made nor are in any manner responsible or liable for any warranty, representation or guaranty, expressed or implied, in fact or in law, relating to the prize (or any component of a prize) including but not limited to its quality, merchantability or fitness for the intended purpose; the only warranties being those of the relevant product manufacturer/service provider.
In the event of a dispute over the identity of an online entrant, entry will be deemed submitted by the Authorized Account Holder of the email account associated with the email account provided. Authorized Account Holder means the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.
Any activities, determined by Sponsor, in its sole discretion, to be intended to disrupt or interfere with the proper play of the Contest or defraud Sponsor in any way will be prosecuted to the fullest extent of the law in addition to resulting in disqualification from Contest.
Force Majeure: The failure of the Sponsor, its agencies or affiliates to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, act of public enemies, actions of governmental authorities outside of their control (excepting compliance with applicable codes and regulations) or other force majeure event will not be considered a breach of these Official Rules.
Participation in Contest is subject to the Privacy Policy and Terms of Use of www.lendingclub.com.  IF YOU DO NOT AGREE TO THE PRIVACY POLICY AND TERMS OF USE OF LENDINGCLUB.COM, DO NOT ENTER THE CONTEST, PROVIDE ANY PERSONAL INFORMATION ON THE WEB SITE OR OTHERWISE USE THE WEB SITE. The Contest is governed by the laws of the United States.

Winners’ List: For a list of winners, send a self-addressed stamped envelope to LendingClub Photo Contest, 370 Convention Way Redwood City CA, 94063. Winners’ names are available 30 days after the end of the Term.
